Terms — Executive Intelligence Scan

The Executive Intelligence Scan is a business-to-business service intended for entrepreneurs, companies and business leaders acting in a business context. It is not intended for minors. These Terms apply only where Gerry Lingen, as the service operator, has accepted a request for the service. Viewing the website or opening or submitting the intake does not by itself mean that a service request has been accepted or that a contract has been formed. Acceptance or clear confirmation by Gerry Lingen is required. The contracting parties are the accepted client and Gerry Lingen.

An accepted Executive Intelligence Scan currently consists of a language-specific intake, analysis of submitted information, AI-assisted preparation of the Executive Intelligence Report, Gerry's personal review and approval of the client-facing output, delivery of the final report, and one included Executive Decision Session.

The Executive Decision Session is used to review the findings, validate the diagnosis, identify priorities and support the client's decision-making. It does not include implementation unless that is separately agreed.

A Founder Command Layer Pilot may be offered separately if implementation support is later agreed. It is not part of the current service. Future subscription or platform services are also outside the current service and these Terms.

The website links to a language-specific Tally intake. Opening or submitting the intake is a request or application for the service and does not by itself form a contract. A service relationship begins only when the service operator accepts the request or clearly confirms acceptance.

The client must provide information that is reasonably accurate and complete, have the authority or other right to provide it, avoid unlawful content and unnecessary sensitive personal data, and provide reasonable clarification when requested for the analysis.

Automated systems, including AI-assisted synthesis, support analysis and report preparation. Gerry conducts the final human review and approves the client-facing output before delivery. Automated systems do not make the final approval decision.

The Scan, report and Executive Decision Session provide decision support. The client remains responsible for its own decisions, actions and implementation choices.

The client is responsible for the reasonable accuracy and completeness of submitted information, having the authority or rights needed to provide it, giving reasonable and timely cooperation, and avoiding unlawful content and unnecessary sensitive personal data.

The client is also responsible for the decisions, actions and implementation choices it makes and for how it uses the report and Executive Decision Session. These responsibilities do not make the client responsible for failures attributable to the service operator or its providers.

The client retains the rights it holds in the data, information and materials it provides. The client grants the service operator a limited, non-exclusive right to use them only as reasonably necessary to provide and administer the requested service.

Subject to third-party rights, the client receives a non-exclusive right to use the final Executive Intelligence Report for its internal business purposes and may share it with relevant employees, directors, representatives and professional advisers for those purposes. The report may not be resold, sublicensed, white-labelled or used to extract or reproduce the underlying methodology for a competing offering.

The service operator retains all rights in its pre-existing and underlying methodologies, frameworks, models, templates, taxonomies, report structures, analysis methods, scoring methods, prompts, prompt architecture, systems, software, workflows, processes, knowhow and generic improvements. A client-specific report does not transfer those underlying rights.

Feedback may be used to improve the service, methods and systems, but confidential client data will not be made public and the client will not be identified without separate permission.

Participation does not grant permission to publish the client's name, a testimonial, quote, identifiable case study or result. Prior permission is required for each such public use.

Each party will protect the other party's non-public information with reasonable care and use it only for the service or related business relationship.

Information may be disclosed to personnel, professional advisers and service providers who need it for those purposes and are subject to appropriate confidentiality duties, or where disclosure is required by law, a court or a competent authority.

These confidentiality principles do not apply to information that is public without breach of these Terms, was already lawfully known, is independently developed without use of the other party's confidential information, or is lawfully received from another source without a confidentiality duty. They do not promise absolute secrecy or replace a separately agreed confidentiality agreement.

The current Founding Client Executive Intelligence Scan, including one Executive Decision Session, is free of charge.

The regular paid Executive Intelligence Scan costs EUR 2,950 excluding VAT where applicable. It is a one-off B2B service and requires 100% payment in advance before the paid service is accepted and before substantive processing begins.

Payment must be made according to the invoice or payment instruction communicated to the client. The paid Executive Intelligence Scan does not include implementation, software development, ongoing support, a subscription or platform access. A Founder Command Layer Pilot is optional and must be contracted separately.

The service operator will use reasonable efforts to provide an accepted service according to the timing communicated or agreed with the client. No fixed turnaround time, service level or uptime commitment applies unless expressly agreed in writing.

Reasonable timing changes may be needed during analysis, review or scheduling. The service operator will communicate material schedule changes where practical.

The service operator will perform the service with reasonable professional care. The analysis depends on information and evidence provided by the client, and the client remains responsible for its own decisions and implementation.

No specific business result is promised. To the extent permitted by law, the service operator is not liable merely because an expected outcome is not achieved or because of a client's decision to act or not act on the decision support provided.

Technical service providers may affect processing or availability, but this does not remove any responsibility the service operator has under mandatory law. Nothing in these Terms excludes or restricts liability for fraud, intentional misconduct or any matter that cannot lawfully be excluded or restricted.

No financial liability cap is established for the current free Founding Client Scan. For a paid Executive Intelligence Scan, the service operator's total contractual liability arising from that specific Scan is, to the extent legally permitted, limited to the amount actually paid for that specific Scan. This cap does not apply to fraud, intentional misconduct, liability under mandatory law or any liability that cannot legally be limited.

The Scan, report and Executive Decision Session are based on submitted information, available evidence, assumptions, analysis and professional judgement. They support business and executive decision-making and are not a substitute for independent legal, tax, accounting, investment, financial, medical or other regulated professional advice.

No revenue, growth, efficiency, profitability, funding, implementation or other result is guaranteed. The client decides whether and how to act on the findings and recommendations.

For the current free Founding Client Scan, the client may withdraw its request before substantive analysis begins. After work has begun, the client may ask the service operator to stop, but completed or internal work does not have to be delivered unless separately agreed.

If a paid Executive Intelligence Scan is cancelled after payment but before substantive analysis begins, the amount paid may be refunded. Once substantive analysis has begun, fees are generally non-refundable because individualised analysis and intellectual work have commenced, except where the service operator cannot provide the agreed service, mandatory law requires otherwise or another written agreement applies.

The included Executive Decision Session is scheduled by mutual agreement. Either party may request a reasonable rescheduling. If repeated non-attendance prevents the Session from taking place, the service operator may treat the included Session as completed and close the engagement; for a paid Scan, this does not entitle the client to a refund unless otherwise agreed.

A Founder Command Layer Pilot remains a separate optional engagement. Subscriptions and platform services are not part of the Executive Intelligence Scan.

These Terms are governed by Dutch law. The parties will first try to resolve any dispute directly and in good faith.

If the dispute is not resolved, it will be submitted to the competent court in the Netherlands and, where legally permitted, to the competent court connected to Gerry Lingen's place of establishment. Mandatory jurisdiction rules remain unaffected.
